Terms & Conditions Weldaad Authentic Interior (Wholesale)
Definitions
1.1. In these General Terms and Conditions, the following definitions apply:
- a) 'De Weldaad': Weldaad Authentic Interior, located at Hollandweg 18 in Aalsmeer.
- b) 'Customer': Any legal entity that enters into an agreement with De Weldaad for the purchase of interior and decorative items.
- c) 'Products': Items and decorations offered by De Weldad.
- d) 'Agreement': The agreement between the Client and De Weldaad for the purchase of Products.
Applicability
2.1. These general terms and conditions apply to all offers, orders and agreements between the Client and De Weldaad.
Orders
3.1. Orders are placed via the website of De Weldaad, by e-mail, or via other channels designated by De Weldaad.
3.2. All new customers must register either via the online B2B account form or via the Sales application during the sale.
3.3. A valid VAT number is required.
3.4. The minimum order amount is €500,-.
3.5. The order will only be shipped after full payment of the pro-forma invoice (pre-payment).
3.6. De Weldaad reserves the right to refuse orders or request additional information.
Prices and payment
4.1. All prices are exclusive of VAT and other levies, unless otherwise stated.
4.2. Payment must be made within 21 days after receipt of the pro-forma invoice, unless otherwise agreed in writing.
4.3. (Pro forma) invoices are drawn up in € (Euro).
4.4. After the expiry date, additional administration costs may be charged.
4.5. De Weldaad reserves the right to increase the prices in the webshop without prior notice. All pending orders will be delivered according to the current prices.
Delivery
5.1. The delivery of Products is outsourced to the logistics partner of De Weldaad and takes place at the delivery address specified by the Customer.
5.2. The delivery time is estimated as accurately as possible but is not binding.
5.3. Within the Netherlands, orders above € 750 are shipped free of charge (with the exception of furniture) and within the EU, orders above € 1750 are shipped free of charge (with the exception of furniture). Additional costs for islands are € 50,-.
5.4. There will be no deliveries to residential addresses.
5.5. Orders under € 750 (NL) and under € 1750 (EU) will be charged at cost price.
5.6. Replenishment of a (re-)order can only take place with items that are in stock.
5.7. De Weldaad reserves the right to refuse and remove small repeat orders.
5.8. In the unlikely event that the Client does not receive the goods, the costs for an additional outbound delivery will be charged. Customer should monitor the delivery via the tracking number in the email confirmation, which Customer will receive, once the delivery has left the logistics partner's warehouse.
5.9. If goods are damaged on arrival, Customer must immediately report this to the freight forwarder, preferably also on the shipping documents. The Client must also report the damage to De Weldaad within 48 hours by e-mail with photos of the damaged items. The latter is mainly intended for communication between De Weldaad and its suppliers.
Retention
6.1. Ownership of the Products will only pass to the Customer after full payment has been made.
Warranty & Complaints
7.1. De Weldaad is responsible for the quality of the Products supplied.
7.2. Complaints about the Products must be reported in writing (by e-mail) within 48 hours of receipt, stating customer and invoice number. De Weldaad does not accept returns and does not credit products, unless a defect has actually been demonstrated.
Liability
8.1. De Weldaad is not liable for damage caused by the use of the Products, unless there is intent or severe negligence.
Force majeure
9.1. In the event of force majeure, De Weldaad is not obliged to fulfil its obligations towards the Client.
Governing Law and Dispute Resolution
10.1. These general terms and conditions and the agreements between the Client and De Weldaad are governed by Dutch law.
10.2. Disputes will be submitted to the competent court in Amsterdam.
